International non-exclusive Beat license agreement

§1 Contractual Partners && Jurisdiction

The buyer of the Beats via www.evakestudio.com

Applicable law:
This contract is governed exclusively by Austrian law.

Place of jurisdiction:
Linz, Austria, to the extent permitted by law.

§2 Granting of rights of use

The licensor grants the licensee a non-exclusive, non-transferable and limited usage license one, in order to a (1) new derived musical work to create (“song”) by the licensee adding their own vocal and/or lyrical contributions to the licensed Beat adds.

This contract represents no purchase, but exclusively the Granting of a usage license dar.

All master rights and rights to the underlying musical composition of the beat remain exclusively at the licensorunless otherwise expressly agreed in writing.

This contract establishes no “Work Made for Hire” within the meaning of any legal system.

§3 Binding royalty distribution && Registration with collecting societies

The licensee is obliged to register the song with their relevant collecting society (e.g. GEMA, AKM, ASCAP, BMI). binding with the following non-negotiable shares to register:

  • Publisher (40%)
    Evake Music Publishing
    IPI: 01236167070
  • Composer (30%)
    Producer (c/o Evake Media GmbH)
  • Lyricist (30%)
    Licensee

A deviation from these proportions represents a material breach of contract dar.

§4 Restrictions on Use

4.1 Stream Limit

The usage license is valid exclusively until... maximum permissible number of streams valid for the respective selected license level.
A license upgrade is before exceeding The respective stream limit is mandatory.

4.2 Content ID && Fingerprinting

Registering the song or beat at YouTube Content ID, Facebook Rights Manager or other fingerprinting or automated rights management systems expressly prohibited.

§5 Option Exclusive License

In addition to non-exclusive licenses, individual beats can be licensed with a exclusive license offered.

The acquisition of an exclusive license means:

The beat will permanently removed from further license sales.
It can no new licenses (neither non-exclusive nor exclusive) can be purchased for this beat.

  • All Non-exclusive licenses lawfully concluded prior to the sale of the exclusive license remain valid., however exclusively until the earlier of the following dates:
    • process of the agreed contract term of five (5) years from the respective purchase date, or
    • Achieving the agreed target Stream limits the relevant license level.
  • Upon the occurrence of one of these events, the respective right of use expires. automatically and finally.
  • One Extension, expansion, renewal or upgrade existing non-exclusive licenses is excluded after the sale of an exclusive license.

§6 Warranty, Assurances && Exemption

The licensee warrants that all vocal, lyrical or other creative work contributed by him is do not infringe any third-party rights.

The licensee agrees to indemnify the licensor against all third-party claims, damages, costs and expenses (including reasonable legal fees) resulting from a breach of this agreement or from the use of the licensed beat.

§7 Attribution of authorship

The licensee agrees to include the following producer credit in all publications, metadata, and descriptions:

§8 Severability Clause

Should individual provisions of this contract be wholly or partially invalid or unenforceable, the validity of the remaining provisions shall remain unaffected.

§9 Entire Contract

This contract represents the full agreement This agreement represents the agreement between the parties and supersedes all prior oral or written agreements relating to the subject matter of the contract.
